User-Generated Content

Any content you create using our platforms remains your intellectual property. However, you grant unispha a licence to host, store, and process this content as necessary to provide our services.

For paid services, the following terms apply:

  • All prices are quoted in Euros (EUR) and include applicable VAT
  • Payment terms are typically 30 days from invoice date unless otherwise agreed
  • Late payment may result in service suspension and interest charges
  • Refunds are provided in accordance with our refund policy
  • Price changes will be communicated with reasonable advance notice

8. Limitation of Liability

To the fullest extent permitted by law, unispha Ltd shall not be liable for any indirect, incidental, special, consequential, or punitive damages, including without limitation, loss of profits, data, use, goodwill, or other intangible losses.

Service Availability

We strive to maintain high service availability but cannot guarantee uninterrupted access. We are not liable for temporary unavailability due to technical issues, maintenance, or circumstances beyond our control.

Educational Outcomes

Whilst our solutions are designed to enhance educational experiences, we make no guarantees regarding specific learning outcomes or academic performance improvements.

Maximum Liability

In any event, unispha's total liability to you for all damages shall not exceed the amount paid by you for the services in the twelve months preceding the claim.

9. Indemnification

You agree to defend, indemnify, and hold harmless unispha Ltd, its officers, directors, employees, and agents from any claims, damages, or expenses arising from:

  • Your use of our services in violation of these terms
  • Your violation of any third-party rights
  • Any content you submit or create using our platforms
  • Your negligent or wrongful conduct

10. Governing Law

You may stop using our services at any time. For paid services, termination will be effective at the end of your current billing period.

By unispha

We may terminate your access immediately if you violate these terms. We may also terminate with reasonable notice for business reasons.

Effect of Termination

Upon termination, your right to use our services ceases immediately. We will provide reasonable assistance in data export where technically feasible.

12. Dispute Resolution

For formal disputes, we prefer mediation before litigation. EU consumers may also access the European Commission's Online Dispute Resolution platform.

13. Force Majeure

unispha shall not be liable for any failure or delay in performance due to circumstances beyond our reasonable control, including but not limited to acts of God, natural disasters, war, terrorism, strikes, or government actions.

14. Severability

If any provision of these terms is found to be unenforceable or invalid, the remaining provisions will remain in full force and effect. The unenforceable provision will be replaced with an enforceable provision that most closely reflects the original intent.
